A significant majority of shareholders voted in favor on Thursday afternoon, local time in Sweden.
The two companies announced earlier this spring that the deal would be finalized after Netflix dropped out of the bidding, meaning Paramount will buy Warner Bros for $111 billion, including debt.
The deal must also be approved by US authorities.
The mega deal is controversial - not least in Hollywood, where critics say the industry map risks being redrawn in a problematic way.
Paramount wants to buy all of Warner Bros, which includes, for example, the streaming service HBO Max, the Harry Potter films, and the media company CNN.
