The deal is worth around 22 billion Canadian dollars (equivalent to almost 125 billion SEK).
Payment will be made both in cash, at 25 percent, and in Shell shares, at 75 percent.
The price tag includes a premium of 27 percent compared to ARC Resources' closing price on Friday.
