The London club is now fully owned by Clearlake Capital.
Clearlake and Boehly took over Chelsea in 2022 from Russian oligarch Roman Abramovich, who was forced to sell the club as a result of sanctions imposed after Russia's full-scale invasion of Ukraine.
Boehly is also stepping down as chairman of the board.
"I am confident that Chelsea is well positioned for continued success under Clearlake's leadership," Boehly said in a statement.
